Agreement to Terms

Welcome to Mindful Wellness. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Mindful Wellness ("we," "us," or "our") governing your use of our website, services, programs, and facilities.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Mindful Wellness provides wellness coaching, mindfulness instruction, stress management programs, and related holistic health services ("Services"). Our Services include but are not limited to:

• Personal wellness coaching and consultations
• Group classes and workshops
• Specialized wellness programs (sleep optimization, stress management, etc.)
• Holistic therapies (sound healing, aromatherapy, tea ceremony, nature therapy)
• Corporate wellness programs
• Virtual/online sessions
• Retreats and special events
• Educational resources and content

Important Disclaimer: Our Services are designed to support wellness and personal development. They are not medical treatment and do not replace professional healthcare. We do not diagnose, treat, cure, or prevent any disease or medical condition. Always consult with qualified healthcare professionals regarding medical concerns.

You must meet the following requirements to use our Services:

• Be at least 18 years of age, or have parental/guardian consent if aged 13-17
• Have the legal capacity to enter into binding agreements
• Provide accurate and complete registration information
• Comply with all applicable laws and regulations
• Not be prohibited from using our Services under any applicable law

Account Creation

To access certain Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Account Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• You provide false or misleading information
• Your account is used for illegal or unauthorized purposes
• We determine, in our sole discretion, that termination is appropriate

Pricing and Fees

• All prices are in Singapore Dollars (SGD) unless otherwise stated
• Prices are subject to change with 30 days notice to existing clients
• Applicable taxes will be added to all prices
• Payment is due at time of booking unless alternative arrangements are made

Payment Methods

We accept major credit cards, debit cards, bank transfers, and HSA/FSA cards (where applicable). All payments are processed securely through encrypted third-party payment processors.

Packages and Memberships

• Session Packages: Paid in full at purchase, valid for 6 months from purchase date
• Memberships: Billed monthly on the date of enrollment
• Programs: Payment plans available; must be paid in full before program completion
• No automatic renewal without your explicit consent

Refund Policy

• Cancellation before services begin: Full refund minus 10% administrative fee
• Cancellation after services begin: Prorated refund based on unused sessions/time
• No-shows and late cancellations: No refund
• Package and program refunds: Case-by-case basis within first 14 days
• Membership refunds: No refund for current month; cancel anytime with 30 days notice
• Our cancellations: Full refund or credit

Health Disclosure

You agree to:

• Accurately disclose all relevant health information, conditions, and medications
• Update us immediately of any changes in your health status
• Inform us of pregnancy, injuries, or recent surgeries
• Consult with your physician before starting any new wellness program
• Obtain medical clearance if requested

Assumption of Risk

You acknowledge and accept that:

• Wellness practices involve physical and mental activities that carry inherent risks
• You participate voluntarily and at your own risk
• You are responsible for knowing your limits and communicating discomfort
• Our instructors provide guidance but you control your own participation level
• Injuries can occur despite reasonable precautions

Facility Safety

• Arrive on time and avoid disrupting sessions in progress
• Use equipment and facilities as directed
• Report any unsafe conditions or equipment
• Follow all posted rules and staff instructions
• Do not attend if you are ill or contagious

Limitation of Liability

To the maximum extent permitted by law:

• Mindful Wellness, its owners, employees, and contractors shall not be liable for any injury, loss, claim, damage, or any special, exemplary, punitive, indirect, incidental, or consequential damages of any kind arising from your use of our Services
• Our total liability to you for any damages shall not exceed the amount you paid us in the 3 months prior to the claim
• This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise)

Indemnification

You agree to indemnify, defend, and hold harmless Mindful Wellness and its affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of our Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your negligence or willful misconduct

Our Content

All content on our website and in our Services (text, images, videos, audio, logos, designs, programs, and materials) is owned by or licensed to Mindful Wellness and protected by copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable license to:

• Access and use our Services for personal, non-commercial purposes
• Download materials provided to you as part of your program for personal use

Prohibited Uses

You may NOT:

• Copy, reproduce, distribute, or create derivative works from our content
• Use our content for commercial purposes without written permission
• Remove copyright or proprietary notices
• Use our name, logo, or branding without authorization
• Record sessions without explicit permission
• Share login credentials or access with others

To maintain a safe, respectful, and supportive environment, you agree to:

• Respect: Treat all clients, instructors, and staff with courtesy and respect
• Confidentiality: Maintain confidentiality of information shared by others in group settings
• Professionalism: Refrain from inappropriate behavior, language, or attire
• Safety: Not attend under the influence of alcohol or drugs
• Boundaries: Respect personal and professional boundaries
• Honesty: Provide truthful information and communicate openly

Violations: We reserve the right to immediately terminate services and deny future access to anyone who violates this Code of Conduct, engages in harassment, or creates an unsafe environment. No refund will be provided in such cases.

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Confidentiality

We maintain confidentiality of your health information and session content, except:

• With your written consent
• When required by law
• When there is imminent danger to yourself or others
• For internal quality improvement and training (anonymized)

No Medical Advice

Our Services are not medical care. We do not diagnose, treat, or cure medical or mental health conditions. Information provided is for educational purposes only and should not replace professional medical advice.

No Guarantees

While we strive to provide high-quality services, we cannot guarantee specific results. Individual results vary based on many factors including commitment, consistency, individual circumstances, and factors beyond our control.

Services Provided "As Is"

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date. Material changes will be communicated via:

• Email notification to registered users
• Prominent notice on our website
• In-person notification at your next session

Your continued use of our Services after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of our Services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Dispute Resolution

In the event of any dispute, claim, or controversy arising from these Terms or our Services:

1. Good Faith Negotiation: We agree to first attempt to resolve the dispute through good faith negotiation. Contact us at legal@drilldeepstone.com to initiate this process.
2. Mediation: If negotiation fails, we agree to mediation before a mutually agreed-upon mediator in Singapore.
3. Arbitration: If mediation is unsuccessful, disputes shall be resolved by binding arbitration in Singapore under the Singapore International Arbitration Centre (SIAC) rules.
4. Jurisdiction: For matters not subject to arbitration, you agree to the exclusive jurisdiction of the courts of Singapore.

Class Action Waiver

You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class or representative action. Class arbitrations and class actions are not permitted.
